董事会谨此宣布,於二零零六年二月二十二日,Upper Speed(长实及和                 
黄分别间接拥有50%权益之实体)与TW Capital Developments等订                      
立买卖契据,并於同日向TW Capital Developments收购:(i)CCH                       
及CHL各自已发行股本之50%;(ii)CCH及CHL各自应付TW Capital                        
Developments之贷款之利益;及(iii)CCH及CHL各自向TW Capital                       
Developments发行之债券之利益。长实及和黄将分别按其於Upper                       
Speed间接持有之权益比例,支付初步代价及进一步代价。                             
                                                                                
和黄为长实若干附属公司之主要股东,因此按上市规则之定义属长实之关                
连人士。根据上市规则第14A.13(6)条,长实与和黄成立Upper Speed                    
以进行收购事项之合营安排,构成长实之一项关连交易。由於长实就收购                
事项之承担额所代表之相关百分比率超过0.1%但低於2.5%,故此,根据                  
上市规则第14A.32条,有关成立Upper Speed之合营安排获豁免遵守                     
独立股东批准之规定,惟须遵守上市规则第14A.45条至第14A.47条所                    
载之申报及公布规定。

TW Capital Developments已於二零零六年二月二十二日按买卖契据                     
所载之条款向Upper Speed出售销售股份,及转让该等贷款及该等债券,

(1)     CCH股本中50股每股面值1英镑之股份,相当於其已发行股本之                  
50%;                                                                           
                                                                                
(2)     CCH应付予TW Capital Developments总额为948,501英镑                       
之无抵押免息贷款,须於提出要求时偿还;                                          
                                                                                
(3)     CCH向TW Capital Developments发行本金总额为                              
16,503,794.94英镑之无抵押贴现债券,附带年息率5.388厘,须於二                    
零零八年一月十三日偿还;                                                        
                                                                                
(4)     CHL股本中50股每股面值1英镑之股份,相当於其已发行股本之                  
50%;                                                                           
                                                                                
(5)     CHL应付TW Capital Developments总额为5,639,724英镑                       
之无抵押免息贷款,须於提出要求时偿还;                                          
                                                                                
(6)     CHL向TW Capital Developments发行本金为                                  
18,808,710.78英镑之无抵押贴现债券,附带年息率5.946厘,须於二                    
零零八年一月十三日偿还;及                                                      
                                                                                
(7)     CHL向TW Capital Developments发行本金为                                  
12,597,802.96英镑之无抵押贴现债券,附带年息率5.367厘,须於二                    
零零八年八月十七日偿还。                                                        
                                                                                
CCH及CHL各自其余之50%权益由另一间公司持有,该公司由长实、和黄                   
及一名第三方按45 : 45 : 10的比例实则拥有。

完成於紧随订立买卖契据後发生。完成并无任何先决条件。                            
                                                                                
代价:                                                                          
                                                                                
收购事项之代价为41,500,000英镑,包括初步代价及进一步代价,乃经                  
Upper Speed与TW Capital Developments按公平原则磋商,并考                        
虑多项因素包括收购资产之价值後达致。                                            
                                                                                
付款条款:                                                                      
                                                                                
初步代价已於完成时支付,而进一步代价则须於名为英国伦敦Lots Road                 
Power Station, Lots Road, Chelsea之永久业权物业及位於英国                       
伦敦Chelsea Harbour Drive, Chelsea Harbour Estate, Fulham                       
北面之土地之规划许可成为可予执行之日(惟须於二零零七年六月三十日                
前发生)起计十个工作日内支付。                                                  
                                                                                
长实及和记黄埔地产有限公司(和黄之全资附属公司)已按买卖契据所述                
者,於完成时订立保证契据,各自担保(i)Upper Speed支付进一步代价;                
及(ii)担保Upper Speed履行其向TW Capital Developments作                          
出之弥偿保证下之责任。TW Capital Developments之控股公司根据                     
CHL与另一名外部第三方就上述物业之发展订立之协议,按比例基准向该
